The Supervisory Council of Fondazzjoni Kottonera is responsible for overseeing the policies, strategic direction and implementation of the Foundation’s objectives. Acting in the interests of the Foundation and its stakeholders, the Council monitors the Foundation’s overall performance and ensures that its activities are aligned with its strategy and statutory responsibilities.

Its responsibilities include monitoring the implementation of the Foundation’s strategy and strategic targets, reviewing proposals for major projects, overseeing financial reporting and internal control systems, and monitoring compliance with applicable legislation and good corporate governance principles. The Council also oversees the Foundation’s relationships with its stakeholders and reviews matters relating to remuneration policies, conflicts of interest and compliance with the Code of Ethics.

In carrying out its role, the Supervisory Council has access to the information and documentation necessary to fulfil its duties and may issue directives and recommendations to the Board of Governors. It also submits its observations and recommendations to the Board and the Founder and prepares an annual report on its activities.

Through its supervisory, advisory and regulatory functions, the Council contributes to the accountability, transparency and effective governance of Fondazzjoni Kottonera.
